It did happen about 4 miles after stopping and topping off my fuel tank ...here is the other thing I have stalled bike before and was able to start it back up ...yesterday I would have to turn ignition switch off and back on before starter would work and start my bike ..

Sounds like Fuel starvation but I can't associate that with a click loud enough for you to hear over the running engine and a Crash helmet on.
When it cut out did you notice if the Fi indicators in the Meter come on ?
Yes my fi light is Also oil and over heat light so I'm not sure what tripped the light oil and coolant seemend fine and there was no boil over from the coolant reservoir Also I was wearing halfshell helmet

Update ....cleaned out fuel tank and filter thought problem was fixed went on a ride last weekend and about 45 mins into ride it started acting up again had to let it sit 15 to 20 mins before it would start up again ...turned around and headed home about 45 mins later it started spitting and backfiring and quit again another 20 min rest and it starts back up and I make it 7 miles back home ...monday I removed fuel tank and flushed cooling system and did a oil change with new filter and checked all sensor conections put everything back togather and went for a test ride 45 mins later under hard pull motor started backfiring and I would let off throttle and it would run fine few mins latter while going up hill would give a little extra throttle and it would back fire and act like it was gonna die ease off and it would run fine ...this time it never died on me but would act out every now and then and act like it was about to die but then run fine ..... Any suggestions on what I should check next ?

Is this a fuel injected bike? When it conks out, have you noticed a poof of black smoke from the exhaust? All guesses mind you but It's acting like a buddy's bike. He had a temperature sensor going bad so the ecu would get a cold signal and flood the engine with fuel just like at startup.

I would also check, if you have one, the throttle position sensor. On our Yamahas this causes very similar symptoms.

All VN2000's are Fuel injected the 2004 A1 being the first Model Kawasaki released.

In my opinion if it was the Temp sensor (good shout) it would show up long before a 45 min ride as I'd expect the Bike to be up to operating temp within 5-10 mins depending on ambient temps, Problem is the Water temp sensor doesn't throw a code if faulty only the Inlet Air Temp does on that side (Code 13)

I'm wondering if the Battery/Charging system is faulty and needs the rest time to recover partially enough to get home, Just a thought.
Might be worth getting the Battery tested for starters.
Have you got a Digital Meter to test the charging system.
